Question about Entropy and the end of the Universe...?

Since the universe is dying from entropy what is to stop all energy being converted into matter at the end? all heat sources are going to end and since there must always be the law of conservation of energy then all energy must be converted into matter! If this extends to the quantum level then do the very atoms of the universe become random and chaotic as well or do they become more organized at the end? If all stars and energy sources die then they will all become the most stable and inert form of matter such as lead! Will this universe at it's death be nothing more than a mass of lead?
