Next time you boot the system, hit F8 just after bios posts... Select Enable Boot Logging and try to start Windows. XP will keep a log of what it is doing on your hard drive. repeat the F8 procedure but select Safe Mode (or Safe Mode Command Prompt if it doesn't work). Now tell me What will be the name of the boot log file and where will it be stored ........
