Flash Disk Error

I get message telling me my new flash disk needs to be formatted. Then i try to format but format process cant be completed by windows. So, i try some software such us HP DRIVE KEY BOOT UTILITY, HP USB DISK STORAGE FORMAT TOOL, etc. But they dont work, my flashdisk still cant be formatted. Please help?
