Tax obligations on an ESOP distribution

-My company has been purchased and the esop will be terminated and a distribution made.
-Can I roll the proceeds from the ESOP into another 401k (I have a 401k from another job at
Fidelity Investments) without a tax penality?
-What are the tax penalities If I withdraw and do not roll into a 401k?
