I am in a problem...Please help me out.

Friends ,I am into a odd situation these days. One of my best friends, is starting a new business of his own. Before this he was working in a company. I too am employed in another company. Now, he wants me to join his company as a employee and look after the plant of his company. I personally do not want to go into such a relationship with a best friend because I think it will affect our friendship. But how can I deny him? I am afraid that he will feel bad. Can you guys suggest me what I should do. What are your comments or advise about working at a friend's company?
