Indemnification

The manufactuer includes in the sales agreement that I as sales representative agrees to indemnify and hold the company harmless against any liability, damage ore expense (including costs and attorney's fees and expenses) by reason, or arising out of or relating to any acts, duties or obligations or omissions of the Sales Representative to perform the Sales Representative's obligations and duties under this agreement ....etc. It also says that I have to bear all costs, demands, damages. I do not want to include this clause. Told them I am only selling the product and if I mess up then they can terminate the agreement. What is normal clause if any for the Sales Rep to indemnify the company he represents?

If you are the seller you should not be liable only the manufacture..Sounds as if they don't want to take resposibility for their product..
